Terms of Service

1. Who we are

"Palmprint Labs" ("Palmprint Labs," "we," "our," or "us") is the trade name under which we operate as a sole proprietorship from Collin County, Texas. Palmprint Labs is not a corporation, limited liability company, or other separate legal entity. These Terms of Service ("Terms") apply to your use of our websites, software products, services, and related content (collectively, the "Services"), unless a separate written agreement states otherwise.

2. Product-specific terms control where applicable

Palmprint Labs operates multiple software products and ventures under one trade name. Each product may publish its own terms, acceptable use rules, and privacy disclosures ("Product Terms").

By using a specific product, you agree to that product's Product Terms. If these Terms conflict with Product Terms for a given product, the Product Terms control for matters related to that product. These Terms continue to apply to all other uses of Palmprint Labs Services.

3. Eligibility and account responsibilities

You must be legally able to enter into a binding contract to use our Services. You are responsible for all activity under your account and for maintaining the confidentiality of your credentials.

4. Acceptable use

You agree not to:

• violate any law or third-party right;
• reverse engineer or interfere with Service integrity;
• introduce malware, abuse APIs, or bypass access controls;
• use the Services to send spam or fraudulent content; or
• use the Services in ways prohibited by applicable Product Terms.

5. Intellectual property

Palmprint Labs and its licensors retain all rights, title, and interest in the Services, including all related software, design, trademarks, and content. Subject to these Terms and any applicable Product Terms, we grant you a limited, revocable, non-exclusive, non-transferable right to use the Services for their intended purpose.

6. Fees and payments

Paid features may be offered under separate commercial terms at checkout or in Product Terms. Unless otherwise stated, fees are non-refundable and exclusive of taxes.

7. Suspension and termination

We may suspend or terminate access to the Services if you violate these Terms, Product Terms, or applicable law, or if your use creates security or legal risk. You may stop using the Services at any time.

8. Disclaimers

The Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Palmprint Labs disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of liability

To the fullest extent permitted by law, Palmprint Labs will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, goodwill, or business interruption. Our total liability for any claim arising out of or related to the Services will not exceed the amount you paid us for the specific Service in the 12 months before the event giving rise to the claim, or USD $100 if no amount was paid.

10. Indemnification

You agree to defend, indemnify, and hold harmless Palmprint Labs, its owner, and personnel from claims, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Services, your content, or your violation of these Terms, Product Terms, or law.

11. Governing law and dispute resolution venue

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. You and Palmprint Labs agree that any dispute, claim, or controversy arising out of or related to these Terms or the Services must be brought exclusively in the state or federal courts located in Collin County, Texas, and each party consents to the personal jurisdiction of those courts.

12. Changes to these Terms

We may update these Terms from time to time. Updates are effective on posting unless otherwise stated. Continued use of the Services after an update constitutes acceptance of the revised Terms.
